Terms of Service

1. Agreement and Operator

These Terms govern pages, applications and digital services expressly identified as operated by XGEN Labs Limited ("XGEN", "we", "us" or "our"). By accessing or using those Services, you agree to these Terms. If you do not agree, please do not use the Services.

These Terms do not automatically govern a separate mainland China entity or its corporate website, even where the XGEN brand or a shared domain is used.

2. Current Product Stage

XGEN develops AI-powered applications and interactive digital experiences. The first overseas consumer product is still under development, with beta testing planned for November 2026. Descriptions of potential or future features are informational and do not guarantee their availability or a launch date.

3. Eligibility and Accounts

You must have the legal capacity required to use the relevant Service. Product-specific age and eligibility rules will be provided before access to the beta or account features. If registration becomes available, you must provide accurate information and protect your login credentials.

4. Acceptable Use

• Do not use the Services for unlawful, fraudulent or deceptive conduct.
• Do not infringe the rights, privacy or intellectual property of others.
• Do not harass, threaten, exploit, impersonate or discriminate against other people.
• Do not attempt unauthorized access, security testing or interference with systems.
• Do not upload malware or use automated methods to disrupt or abuse the Services.
• Do not submit another person’s private information without a lawful basis or appropriate permission.

5. Future Interactive and Community Features

If we introduce community, sharing or person-to-person interaction features, additional community rules and safety tools may apply. These may include reporting, blocking, moderation and restrictions on abusive conduct. Any such features and their rules will be described before launch.

6. AI-generated Content

Future features may generate text, images, recommendations or other content using AI. Outputs can be inaccurate, incomplete, unexpected or similar to content generated for others. Do not rely on AI output as a substitute for independent judgment or qualified professional advice.

We will explain product-specific usage limitations and any rights associated with AI outputs when the relevant feature becomes available.

7. User Content

You remain responsible for content you lawfully upload, submit or share. You represent that you have the rights necessary to provide that content. To the extent needed to operate an available feature, you grant XGEN a limited, non-exclusive permission to host, process and display your content for the purpose of providing, securing and supporting that feature.

Any separate use of personal data for AI training is governed by our Privacy Policy and applicable feature-specific notices; this content permission is not a blanket authorization to train models on your personal data.

8. Intellectual Property

The Services and their software, designs, text, interfaces and branding are protected by applicable intellectual property laws. Such materials are owned by XGEN or their respective rights holders and licensors. Except as expressly allowed, you may not copy, distribute, reverse engineer or commercially exploit protected materials without permission.

9. Beta Access and Service Changes

Beta Services may be experimental, incomplete or subject to interruptions. Features may change, be limited or become unavailable during testing. We may perform maintenance or make reasonable changes to protect users and the Services. Where legally required, we will provide notice.

10. Pricing and Payment

At the date of these Terms, XGEN Labs Limited does not offer paid subscriptions, digital purchases or other paid services for its upcoming overseas consumer product. No commercial payment is currently accepted for that product. Our commercial pricing strategy has not yet been determined.

If payments are introduced, we will disclose prices, currency, billing frequency, applicable taxes, renewals and cancellation conditions before the purchase. App Store purchases, if offered, will also be subject to the applicable platform rules.

11. Refunds and Cancellations

Because no paid transaction is currently offered for the overseas product, refund and subscription-cancellation procedures are not presently applicable. Before introducing a paid service, we will publish its detailed refund and cancellation terms. Mandatory consumer rights remain unaffected.

12. Privacy

Our processing of personal data is explained in the Privacy Policy applicable to the relevant XGEN Labs Limited-operated Service. Please review it before providing information.

13. Third-party Services

A Service may refer you to third-party websites or, when available, interact with platform and infrastructure providers. Those third parties may apply their own terms and privacy notices. We are not responsible for their independent activities except as required by applicable law.

14. Disclaimers and Liability

To the extent permitted by applicable law, the Services are provided on an "as available" basis, without a promise of uninterrupted or error-free operation. Nothing in these Terms excludes liabilities or statutory consumer rights that cannot lawfully be excluded.

15. Suspension and Termination

We may reasonably restrict or suspend access to an available Service to address serious Terms violations, legal requirements or security risks. Where an account feature is introduced, users will be informed of applicable account-termination and deletion arrangements.

16. Governing Law and Disputes

These Terms are governed by the laws of Hong Kong SAR, subject to mandatory protections that may apply to consumers in other jurisdictions. Subject to such mandatory rules, disputes will be submitted to the courts of Hong Kong SAR.

17. Changes and Contact

We may update these Terms to reflect changes in our Services or legal obligations. Updates will be posted on the relevant page with a revised date and, where required, additional notice. 本服务条款适用于明确标注由 XGEN Labs Limited（“XGEN”或“我们”）运营的网页、应用程序及数字服务。访问或使用这些服务即表示您同意本条款；如不同意，请勿使用。

即使使用相同 XGEN 品牌或共享域名，本条款也不自动适用于中国大陆另一个独立法人及其企业官网。

2. 当前产品阶段

XGEN 致力于开发 AI 应用及互动数字体验。首款海外消费者产品仍在开发中，计划于 2026 年 11 月内测。有关潜在或未来功能的描述仅供参考，不构成对功能开放或上线日期的保证。

3. 使用资格与账号

您须具备使用相关服务所需的法律行为能力。内测或账号功能开放前，我们会公布适用年龄与其他资格要求。如提供账号注册，您应提交准确资料并妥善保护登录凭证。

4. 合理使用规则

• 不得利用服务从事违法、欺诈或误导性活动。
• 不得侵犯他人的权利、隐私或知识产权。
• 不得骚扰、威胁、剥削、冒充或歧视他人。
• 不得未经授权访问、测试或干扰系统安全。
• 不得上传恶意程序或使用自动化手段破坏、滥用服务。
• 未经合法依据或适当授权，不得提交他人的私人信息。

5. 未来互动与社区功能

如果未来推出社区、分享或人与人互动功能，可能另行适用社区规则及安全工具，包括举报、屏蔽、内容管理和反滥用措施。相关功能及规则会在上线前公布。

6. AI 生成内容

未来功能可能使用 AI 生成文字、图片、推荐或其他内容。生成结果可能不准确、不完整、出乎预期，也可能与其他用户获得的内容相似。请勿将 AI 输出替代独立判断或专业人士意见。

相关功能开放时，我们会说明适用的使用限制，以及与 AI 输出有关的具体权利安排。

7. 用户内容

您应对依法上传、提交或分享的内容承担相应责任，并保证具有提供该内容所需的权利。为运行实际开放的功能，您在必要范围内授予 XGEN 非独占、有限的许可，用于托管、处理及展示相关内容，以提供、保障和支持该功能。

将个人资料用于 AI 训练等独立用途，仍受隐私政策及具体功能告知约束；上述内容许可不构成对使用个人资料训练模型的概括授权。

8. 知识产权

服务中的软件、设计、文字、界面及品牌等受适用知识产权法律保护，相关权利属于 XGEN 或相应权利人及许可方。除明确允许外，未经许可不得复制、分发、逆向工程或商业利用受保护材料。

9. 内测访问与服务变更

内测服务可能具有试验性质、功能不完整或发生中断。测试期间功能可能调整、受限或暂时无法使用。我们可能进行维护或作出合理调整以保护用户和服务，并在法律要求时提供通知。

10. 价格与付款

截至本条款生效日，XGEN Labs Limited 尚未为筹备中的海外消费者产品提供付费订阅、数字商品或其他收费服务，也未就该产品接受商业付款；未来商业化定价策略尚未确定。

如未来启用收费，我们会在购买前披露价格、币种、计费周期、适用税费、续订及取消规则。如提供 App Store 内购买，还将适用相应平台规则。

11. 退款与取消

由于该海外产品目前不提供付费交易，退款及订阅取消流程现阶段不适用。未来启用收费前，我们会公布详细退款和取消条款；不影响消费者依法享有的强制性权利。

12. 隐私保护

我们对个人资料的处理方式详见适用于相应 XGEN Labs Limited 服务的隐私政策。提交资料前请先阅读。

13. 第三方服务

服务可能提供第三方网站链接，或在功能开放后与平台及基础设施提供商交互。相关第三方可能适用独立条款和隐私规则。除适用法律另有规定外，我们不对其独立行为承担责任。

14. 免责声明及责任限制

在适用法律允许的范围内，服务按“现状可用”提供，我们不保证其持续不中断或完全无错误。本条款不排除依法不得排除的责任或法定消费者权利。

15. 暂停及终止

为应对严重违反条款、法律要求或安全风险，我们可能合理限制或暂停实际开放服务的访问。未来如开放账号功能，我们将告知适用的账号终止及删除安排。

16. 法律适用与争议处理

本条款受香港特别行政区法律管辖，但不影响其他司法辖区消费者可能依法享有的强制性保障。在不违反此类强制性规则的前提下，争议由香港特别行政区法院处理。

17. 条款变更与联系方式
